Indemnification

Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms, or the services provided by Perceptra, shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra.

Intellectual Property Rights
All content published on perceptra.in, including text, graphics, logos, icons, methodologies, frameworks (such as our 5-stage Discover to Scale process), and source code, is the exclusive property of Perceptra. Unauthorized use, reproduction, content scraping, or distribution of our intellectual property is strictly prohibited and may result in legal action.
Upon the successful completion of a website development project and full payment of associated invoices, the specific work product (e.g., website code, custom assets) is transferred to the client, while Perceptra retains the rights to underlying proprietary frameworks and tools used to build the infrastructure.
Payment Terms & Milestone Billing
- Proposals: Project scopes, timelines, and costs are defined individually following a discovery call and detailed in our formal proposals.
- Milestone Billing: Our project-based work operates on milestone-based payment schedules. Payments are collected upon the completion and approval of predefined deliverables.
- Retainers: Monthly retainers for SEO and growth services require a 30-day notice for cancellation.
Project Scope & Revisions
Project scopes are strictly defined in the initial agreement. Any feature requests or structural changes outside of the agreed scope will require a formal Change Order and may incur additional fees. We typically include two rounds of aesthetic revisions during the web development design phase.
Search Engine Algorithms & Guarantees
While we engineer our digital systems to achieve maximum performance and search visibility through advanced Search Engine Optimization, search engine algorithms (like Google) are third-party systems outside of our direct control. Perceptra provides no absolute guarantee of specific ranking positions or immediate timeline outcomes.
Generative Engine Optimization (GEO) Specifics
Our Generative Engine Optimization (GEO) services aim to position your brand favorably within Large Language Models and AI chatbots (like ChatGPT and Gemini). As these technologies are rapidly evolving, strategies are dynamic and results rely on continuous algorithm adaptation.
AI Automation Deployment Terms
For custom AI Automation deployments, clients are responsible for the ongoing usage costs of third-party APIs (like OpenAI tokens) unless explicitly bundled into a Perceptra maintenance retainer.
Client Responsibilities & Delays
Timely project completion relies on prompt client feedback and the provision of necessary assets (e.g., brand guidelines, API keys, specific copy). If a client delays feedback by more than 14 days without notice, Perceptra reserves the right to pause the project and reallocate resources.
Third-Party Tools & API Dependencies
Our infrastructure often integrates third-party tools (CRMs, payment gateways, analytics). Perceptra is not liable for service interruptions, data breaches, or policy changes initiated by these third-party vendors.
Termination & Cancellation of Services
Either party may terminate a project if the other breaches the terms and fails to rectify it within 14 days. Non-refundable deposits will not be returned upon client-initiated cancellation, covering the initial strategy and development hours already expended.
Confidentiality & NDAs
Perceptra frequently signs Non-Disclosure Agreements (NDAs) to protect sensitive client IP or pre-launch startups. Even without an NDA, we treat all internal client data, proprietary strategies, and financial metrics as strictly confidential.
Prohibited Uses of Our Website
You agree to use our website strictly for lawful purposes. You are prohibited from attempting to gain unauthorized access to our servers, executing denial-of-service (DDoS) attacks, or using automated scrapers to harvest our content or proprietary entity data.
Case Study & Portfolio Rights
Unless expressly forbidden in writing, Perceptra reserves the right to showcase completed projects, websites, and anonymized performance metrics in our Case Studies to demonstrate our capabilities to prospective clients.
Hosting, Maintenance & Downtime
For clients on our managed hosting retainers, we strive for 99.9% uptime. However, under no circumstances shall Perceptra, its founder, or its team members be liable for any indirect, incidental, consequential, or punitive damages arising from temporary hosting downtimes or server failures outside our direct control.
Dispute Resolution & Arbitration
In the event of a dispute, both parties agree to attempt mediation in good faith before pursuing legal action. If mediation fails, the dispute shall be resolved via arbitration in Mumbai under the Arbitration and Conciliation Act, 1996.
